Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) form an agreement between you and Prelap (“Prelap,” “we,” “us,” or “our”) governing your access to and use of the Prelap service. By creating an account, accessing a review link, or otherwise using the service, you agree to these Terms. If you do not agree, do not use the service.

2. Description of service

Prelap turns messy client feedback — voice notes, texts, and emails — into a clean, timestamped video revision checklist for video editors and studios. Editors upload media and share zero-login review links with their clients, who can leave feedback as text, recorded voice notes, and on-frame drawings. Prelap uses AI to transcribe and structure that feedback into an actionable checklist.

3. Accounts and responsibilities

To use Prelap as an editor, you must create an account and provide accurate information. You are responsible for keeping your login credentials secure and for all activity that occurs under your account and within your workspace.

You are responsible for the content you upload and for the feedback collected through your projects. You represent that you have the necessary rights to upload and process that content, and that doing so does not violate any law or third-party rights.

4. Acceptable use

You agree not to:

  • Upload or share content that is illegal, infringing, defamatory, or malicious;
  • Use the service to distribute malware or to attempt to gain unauthorized access to any system or account;
  • Abuse, overload, or attempt to circumvent limits on the AI processing, storage, or other resources;
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the service, except to the extent permitted by law; or
  • Use the service in any way that interferes with its operation or with other users.

5. Client review links

Review links let clients access a project without an account. You are responsible for deciding whom to share a review link with and for using the available protections, such as password-protecting a link where appropriate. Anyone with a valid link (and password, if set) may view the associated content and submit feedback, so treat review links as sensitive.

6. Subscriptions and billing

Paid plans are billed through Lemon Squeezy, our Merchant of Record, on a monthly or annual basis as described at checkout. Plans are metered by storage, and additional storage may be available as an add-on.

You can cancel at any time. Cancellation stops future billing, and your access continues until the end of the period you have already paid for. Except where required by law, fees are generally non-refundable, including for partial billing periods. Taxes are handled by Lemon Squeezy as part of checkout.

7. Intellectual property

Prelap and its underlying software, design, and trademarks are and remain our property. These Terms do not grant you any rights in the Prelap software other than the limited right to use the service.

You retain ownership of the content you upload and of the feedback your clients submit through your projects. You grant us the limited rights necessary to host, process, and display that content in order to provide the service to you, including sending feedback to our AI providers for transcription and structuring.

8. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. In particular, we do not warrant that AI transcription and structuring will be accurate, complete, or error-free. You should review AI-generated checklists before relying on them.

9. Limitation of liability

To the maximum extent permitted by law, Prelap and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.

10. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the service or other users.

When a project, video, or account is deleted, the associated data is moved to a Trash and remains recoverable for 30 days, after which it is permanently purged, including from our media storage. We may retain limited records where required for legal, tax, or fraud-prevention purposes.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which the Service operator is established. [Operator to specify governing jurisdiction before public launch.]

12. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify editors. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
