Terms of Service

These Terms describe, in plain language, the agreement for using Prelap. They are provided for transparency and are not legal advice. If you have any questions, contact hello@prelap.io.

1. Acceptance of terms

These Terms of Service (“Terms”) form an agreement between you and Prelap (“Prelap,” “we,” “us,” or “our”) governing your access to and use of the Prelap service. By creating an account, opening a review link, or otherwise using the service, you agree to these Terms. If you do not agree, do not use the service.

2. Description of service

Prelap turns client feedback (voice notes, texts, and emails) into a clean, timestamped revision checklist for video editors and studios. Editors upload videos, images, or audio and share zero-login review links with their clients, who leave feedback as typed notes, recorded voice notes, on-frame drawings, and an overall verdict. Prelap uses AI to transcribe and structure that feedback, summarize changes between versions, and assist editors through an in-app assistant. Editors can also connect integrations such as Slack and webhooks, export checklists as editing-timeline markers, and receive feedback through a per-project intake email address.

3. Accounts and responsibilities

To use Prelap as an editor, you must create an account and provide accurate information. You are responsible for keeping your login credentials secure and for all activity that occurs under your account, within your workspace, and by team members you invite. Roles you assign to team members control what they can do; assign them with care.

You are responsible for the content you upload and for the feedback collected through your projects. You represent that you have the necessary rights to upload and process that content (including any email you forward into the service), and that doing so does not violate any law or third-party rights.

4. Acceptable use

You agree not to:

  • Upload or share content that is illegal, infringing, defamatory, or malicious;
  • Use the service to distribute malware or to attempt to gain unauthorized access to any system or account;
  • Abuse, overload, or attempt to circumvent limits on AI processing, storage, or other metered resources;
  • Use integrations or the intake email address to send spam or unlawful material into or out of the service;
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the service, except to the extent permitted by law; or
  • Use the service in any way that interferes with its operation or with other users.

5. Review links, client spaces, and intake addresses

Review links, client space links, and per-project intake email addresses work without a login: the link or address itself is the credential. You are responsible for deciding whom to share them with and for using the available protections, such as passwords and expiry on review links. Anyone with a valid link (and password, if set) may view the associated content and submit feedback, and anyone who knows a project’s intake address may email feedback into that project. Treat these links and addresses as sensitive, and regenerate or revoke them from the product if they leak.

6. Plans, billing, and the upgrade waitlist

Prelap currently offers a free plan. Paid checkout has not launched yet: choosing a paid plan today joins an early-bird waitlist at founder pricing, and no payment is collected. When paid checkout launches, subscriptions will be billed through a dedicated payment processor (such as Stripe) on a monthly or annual basis as described at checkout, plans will be metered primarily by storage, and additional storage will be available as an add-on.

Once live: you will be able to cancel at any time, cancellation stops future billing, and access continues until the end of the period already paid for. Except where required by law, fees will generally be non-refundable, including for partial billing periods. Applicable taxes will be handled as part of checkout. We will update these Terms when checkout goes live.

7. AI features and fair use

AI features (transcription, feedback structuring, version summaries, and the in-app assistant) are metered per workspace according to your plan’s allowances. We may apply reasonable technical limits to keep the service fast and fair for everyone. AI-generated output can be wrong: always review checklists, summaries, and assistant suggestions before relying on them.

8. Integrations

You may connect your workspace to third-party services, for example Slack or tools that consume webhooks. You control what is connected, you are responsible for the destinations you configure, and your use of a third-party service is governed by that service’s own terms. Events we send to your configured destinations can include project names, reviewer names, feedback excerpts, and links back to Prelap. You can pause or remove any integration at any time in Settings.

9. Intellectual property

Prelap and its underlying software, design, and trademarks are and remain our property. These Terms do not grant you any rights in the Prelap software other than the limited right to use the service.

You retain ownership of the content you upload and of the feedback your reviewers submit through your projects. You grant us the limited rights necessary to host, process, and display that content in order to provide the service to you, including sending feedback to our AI providers for transcription and structuring and delivering events to integrations you configure. We never use your content to train AI models of our own.

10. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. In particular, we do not warrant that AI transcription, structuring, or summaries will be accurate, complete, or error-free, or that the service will be uninterrupted.

11. Limitation of liability

To the maximum extent permitted by law, Prelap and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the service is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim, or, if you have paid nothing, to 50 US dollars.

12. Termination and deletion

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the service or other users.

When a project, version, or account is deleted, the associated data moves to a Trash and remains recoverable for 30 days, after which it is permanently purged, including from our media storage and streaming infrastructure. We may retain limited records where required for legal, tax, security, or fraud-prevention purposes.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which the Prelap operating company is established. Our company registration is being completed; we will update this section with the company name and governing jurisdiction as soon as registration finalizes, and will note the change in the “Last updated” date above.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify editors. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
